1. Introduction

Welcome to harperOS. These Terms of Service ("Terms") govern your use of our website and all consulting, implementation, and advisory services we provide.

By using our services, you agree to these Terms. If you don't agree, please don't use our services.

These Terms form a legally binding contract between you and harperOS. Please read them carefully.

2. Our services

We help business leaders deploy AI Operating Systems through consulting and implementation services.

Three engagement models

  • Project: Solve one pain point. Typically 2-4 weeks. Best for teams exploring their AI roadmap.
  • Fractional: Roll out end-to-end AI Operating System. Typically 2-4 months. Best for teams ready to become AI-native.
  • Advisory: On-call strategic counsel. Best for C-Suite, "Heads of," and board members.

Three pillars

  • Knowledge architecture: Builds knowledge from files or live conversations, organizes into independent blocks, manages entire knowledge base with one prompt.
  • Expert AI assistants: Deploys specialized agents trained on your knowledge, pre-configured with comprehensive parameters, deployed where you work.
  • Automated workflows: Connects assistants into end-to-end workflows that run automatically, workflows execute tasks on your behalf.

Platform-agnostic

We work with any AI platform you choose (Cassidy, Dust, Glean, Langdock, ChatGPT, Claude, Gemini, or others). We work within your chosen platform environment. Your data stays in your systems at all times.

3. Eligibility

Our services are for business owners and companies who are at least 18 years old. By using our services, you confirm that:

  • You're at least 18 years of age
  • You operate a legitimate business or are authorized to enter into this agreement on behalf of a business
  • You have the authority to enter into this agreement
  • You have the financial capacity to invest in our services

harperOS services are provided on a business-to-business ("B2B") basis only.

4. Payment terms

Pricing and payment

  • All prices are in US Dollars unless otherwise specified
  • We use project-based pricing
  • Project engagements: Typically 50% on commencement, 50% on completion
  • Fractional engagements: Typically monthly invoicing
  • Advisory engagements: As specified in your SOW
  • Payment is due within 30 days of invoice date unless otherwise specified in your SOW

Third-party costs

You're responsible for all third-party costs, including platform costs (Cassidy, ChatGPT Enterprise, Claude, or other AI platforms), software licenses, and infrastructure costs.

Late payment

If payment isn't received within the specified payment terms, we may suspend services until payment is received and may charge interest on overdue amounts at 1.5% per month (or the maximum rate allowed by law, whichever is lower).

Refund policy

30-day money-back guarantee: If you're not satisfied with the deployment within 30 days of completion, you may request a full refund. Refund requests must be submitted in writing to support@harperOS.ai within 30 days of service completion.

Results guarantee: We work until you're satisfied. If the system doesn't meet your requirements, we fix it.

5. Intellectual property

What you own

After full payment, you own all deliverables we create specifically for you, including knowledge base content, assistant configurations, workflow designs, and training materials.

What we own

We retain all rights to our methodology, processes, proprietary systems, templates, frameworks, tools, and brand assets.

License to our materials

We grant you a limited, non-exclusive, non-transferable license to use our materials provided during the engagement for your own business purposes only. You may not copy, reproduce, distribute our materials, use them to create competing products, share them with unauthorized parties, or resell our systems or frameworks.

6. Data handling and privacy

All your data stays in your authorized systems and infrastructure at all times. We work inside your authorized AI platform environment. We won't store, transfer, or process your data outside of your authorized systems without your prior written consent.

7. Service delivery and expectations

Your responsibilities

  • Implementing the systems and strategies we provide
  • Providing access to systems and information necessary for the engagement
  • Stakeholder availability for workshops, interviews, and feedback sessions
  • Timely feedback on deliverables
  • Making all scheduled payments on time
  • Using the materials for your business only

8. Warranties and disclaimers

We warrant that services will be performed with reasonable skill and care, using industry-standard tools and platforms, and in compliance with applicable laws.

We do not guarantee specific income or revenue results, business growth within a specific timeframe, that our systems will work for every business model, or that our methods will be suitable for your specific situation.

AI-generated content may contain errors or inaccuracies. You're responsible for verifying the accuracy and appropriateness of all AI-generated content before use.

9. Limitation of liability

To the maximum extent permitted by law, our total liability won't exceed the fees you paid for the specific engagement giving rise to the liability. We won't be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, data, or business opportunities.

10. Confidentiality

Both parties agree to keep each other's confidential information confidential. "Confidential Information" includes non-public business information, proprietary methodologies, your data and information, and our proprietary systems and frameworks.

Confidentiality obligations survive termination of these Terms.

11. Indemnification

You'll indemnify and hold us harmless from claims arising from your use of services, your breach of these Terms, your data, or your violation of third-party rights.

12. Termination

By you: You may terminate these Terms with 30 days written notice. You remain responsible for payment for work completed.

By us: We may terminate immediately if you materially breach these Terms and don't remedy within 30 days, if you become insolvent, or if continued engagement would violate applicable laws.

13. Dispute resolution

These Terms are governed by the laws of the State of Delaware, U.S.A. Any legal proceedings must be instituted in State and Federal courts located in Delaware. Before initiating litigation, we agree to attempt good faith resolution through direct negotiation.

14. Changes to terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. We'll provide reasonable prior notice of any material changes.

15. General provisions

These Terms, together with any SOW, constitute the entire agreement between us and supersede all prior agreements. If any provision is held invalid, the remaining provisions continue in full force. We may assign these Terms without your consent. All notices shall be in writing and sent by email.
